Terms and Conditions for Konstrukt Connector for Google Sheets

Welcome to Konstrukt Connector for Google Sheets (the "Add-on"), a Google Sheets add-on provided by Konstrukt AB ("we," "us," or "our").

Please read these Terms and Conditions ("Terms") carefully before using our Add-on. By installing, accessing, or using the Add-on, you agree to be bound by these Terms. If you do not agree to these Terms, do not install or use the Add-on.


1. Acceptance of Terms

By using the Add-on, you signify your acceptance of these Terms. If you are using the Add-on on behalf of an organization, you are agreeing to these Terms for that organization and promising that you have the authority to bind that organization to these terms. In that case, "you" and "your" will refer to that organization.


2. Description of Service

The Add-on is a Google Sheets extension that provides features for connecting to the Konstrukt platform to load data.

The Add-on integrates with your Google Sheets and requires access to parts of your Google Sheets data to function as intended.


3. License to Use the Add-on

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Add-on for your personal or internal business purposes, as applicable, solely in connection with Google Sheets.

You agree not to:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying ideas or algorithms of the Add-on.
  • Modify, translate, or create derivative works based on the Add-on.
  • Rent, lease, distribute, sell, resell, assign, or otherwise transfer your rights to use the Add-on.
  • Use the Add-on for any fraudulent, illegal, or unauthorized purpose.
  • Remove or obscure any proprietary notices or labels on the Add-on.

4. User Responsibilities

You are responsible for:

  • Ensuring that you have the necessary permissions and rights to use the data you process with the Add-on.
  • Maintaining the confidentiality of your Google Account credentials.
  • All activities that occur under your Google Account in connection with the Add-on.
  • Complying with all applicable laws and regulations in connection with your use of the Add-on.

5. Data and Privacy

Our Add-on may require access to your Google Sheets data to perform its functions. We are committed to protecting your privacy.

  • Data Access: The Add-on will only access your Google Sheets data as necessary to provide its intended functionality.
  • Data Storage: We do not store any of your Google Sheets data on our servers. We store your preferences for the Add-on locally within your Google Account's script properties.
  • Privacy Policy: Your use of the Add-on is also governed by our Privacy Policy, which can be found at https://www.konstrukt.se/products/google-sheets-add-on/privacy-policy. Please review our Privacy Policy to understand our practices regarding your information.

6. Intellectual Property

All rights, title, and interest in and to the Add-on, including all intellectual property rights therein (such as copyrights, patents, trademarks, and trade secrets), are and will remain the exclusive property of Konstrukt AB and its licensors. These Terms do not grant you any rights to use our trademarks, logos, or other brand features.


7. Termination

  • Termination by You: You may stop using the Add-on at any time by uninstalling it from your Google Sheets environment.
  • Termination by Us: We may suspend or terminate your access to the Add-on at any time, with or without cause, and with or without notice, if we believe you have violated these Terms. We may also terminate the Add-on service altogether.
  • Effect of Termination: Upon termination, your license to use the Add-on will cease.

8. Disclaimer of Warranties

THE ADD-ON IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE ADD-ON WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. YOU USE THE ADD-ON AT YOUR OWN RISK.


9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL Konstrukt AB, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE ADD-ON, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE ANY PORTION OF THE ADD-ON OR OTHERWISE UNDER THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO 1 SWEDISH KRONA (SEK).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, INCLUDING THE LIMITATION OF AGGREGATE LIABILITY, SO SOME OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.


10. Indemnification

You agree to defend, indemnify, and hold harmless Konstrukt AB and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Add-on; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your data or content caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Add-on.


11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Add-on after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Add-on.


12. Governing Law

These Terms shall be governed and construed in accordance with the laws of Sweden, without regard to its conflict of law provisions.


13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Konstrukt AB concerning the Add-on and supersede all prior or contemporaneous communications and proposals (whether oral, written, or electronic) between you and us.


14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect and enforceable.


15. No Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
